Klana Tech provides the tools, expertise, and partnership to build and launch your software product. However, we do not guarantee commercial success, specific revenue outcomes, or market adoption. The success of the product depends on various factors including market demand, user engagement, and your own marketing efforts.
To the maximum extent permitted by law, Klana Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the service, including but not limited to loss of profits or financial losses.
Upon full payment, you (the Partner) will own the intellectual property of the final software application (the 'Product'). Klana Tech retains ownership of all underlying proprietary tools, libraries, and development processes used to build the Product. We are granted a license to use the Product's code for maintenance, updates, and support.
These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within San Francisco County, California to resolve any dispute or claim arising from these Terms.
Most partner concerns can be resolved quickly and to the partner's satisfaction by contacting us at support@klanatech.com. In the unlikely event that we are unable to resolve a complaint you may have to your satisfaction (or if we have not been able to resolve a dispute it has with you after attempting to do so informally), we each agree to resolve those disputes through binding arbitration or small claims court instead of in courts of general jurisdiction. Arbitration is more informal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, allows for more limited discovery than in court, and is subject to very limited review by courts.
You agree to defend, indemnify, and hold harmless Klana Tech Ltd. and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
